JUST THE FLAX: HOW A THUMBS-UP EMOJI COST A SASKATCHEWAN FARMER $82,000

A seemingly innocent thumbs-up emoji sent in a text message has led to unforeseen financial consequences for a farmer (Achter Land & Cattle Ltd., hereafter “Achter”) in Saskatchewan, Canada. What started as a gesture of support turned into an $82,000 liability due to a misinterpreted text message. This incident highlights the importance of clear communication in the digital age and the potential legal implications of seemingly innocuous messages.

 

The incident occurred when Achter in Saskatchewan received a text message from a potential buyer interested in purchasing 87 metric tonnes of flax for a contracted price of $669.26 per tonne. Achter did not deliver the flax. The buyer sued for breach of contract and damages of $82,200.21 plus interest and costs. In response to the buyer's message expressing interest, the farmer sent a thumbs-up emoji, intending to convey agreement and positivity. However, the buyer interpreted the emoji as an acceptance of the offer, assuming the Achter had agreed to sell the flax a particular price. This miscommunication resulted in a binding contract, legally obligating the farmer to sell the equipment at the stated price.

 

The farmer, caught off guard by the buyer's interpretation, refused to deliver any flaxThe dispute ultimately ended up in court, where the judge ruled in favor of the buyer, stating that the thumbs-up emoji constituted a legally binding agreement, in part because the buyer had texted numerous contracts to Achter, who previously confirmed through text message and always fulfilled the order.  As a result, the farmer was ordered to pay $82,000 in damages to the buyer.

 

This case serves as a reminder of the significance of clear and unambiguous communication in today's digital landscape. While emojis are often used to add context, emotion, or emphasis to text messages, their interpretation can vary widely between individuals. What may appear as a harmless gesture to one person can be interpreted as a legally binding agreement by another.
